Legal Director

Volunteer Position
Position Description

The Legal Director is a voting member of the board of directors of WEDO Canada and is accountable to the Board for the fulfillment of the duties and responsibilities outlined below.

Time Commitment

Ten hours per month (board meetings, meetings with the Chair of the Board, legal duties)

 

Term of Office 

Two years with the possibility of renewal for a second term.

 

Roles and Responsibilities

The Legal Director will offer guidance to the Chair of the Board in ensuring legal advice and planning, decision-making and oversight at a governance level.  

The principle duties are to:
  • Assist with obtaining charitable status for the Organization

  • Ensure the Organization is informed of and carries out the legal duties.  Oversee the Board to ensure adequate Duty of Care, Duty of Loyalty and Duty of Obedience:

    • Duty of Care: Take care of the Organization ensuring it makes prudent use of all assets and collaborations

    • Duty of Loyalty: Ensure that the Organizations activities and transactions are, first and foremost, advancing its mission; Recognize and disclose conflicts of interest; Ensure decisions are made in the best interest of the Organization and not in the best interest of the individual board member

    • Duty of Obedience: Ensure that the Organization obeys applicable laws and regulations; follows its own bylaws; and that the Organization adheres to its stated corporate purposes/mission.

  • Abide by the by-laws, code of conduct, conflict of interest and other policies that apply to the board

  • Provide guidance in terms of a financial model of the national organization and provincial ambassador events 

  • Monitor the organization’s financial performance

Committee Membership - The Legal Director can choose which committees to participate in. 

 

Qualifications
  • Commitment to the organization’s mission and strategic directions

  • An understanding of, and experience with, good legal management for Not-For-Profit organizations

  • Previous board experience along with governance knowledge

  • A professional legal designation is required

  • An ability to commit the time required to fulfill the responsibilities described

Administration Assistant

Position Description

Are you looking for an internship to help you gain an understanding of how a foundation operates and build your skills in office administration? This would be a perfect role to allow you to do just that; an important role in WEDO Canada that will have significant outcomes for the foundation and women in Canada.
Supporting WEDO Canada as the Administration Assistant is a vital and exciting role.  You will have the opportunity to see exactly how a non-for-profit is run and the business behind the scenes.  You will support the ongoing activity and projects of the WEDO Board and Ambassadors, work with some amazing women, all the while building your personal network and skills.
This role will report directly to the Board Secretary.

Time Commitment

A 12-month commitment on a part-time basis is required (a mix of working remotely and attending events/board meetings)

 

Roles and Responsibilities

Support Board members with various administrative projects (task tracking, research, reporting)
Supporting committees including the marketing and finance committee
Create, collect resources and organize various documents and electronic information for internal projects; Liaise with various parties regarding the projects; Assists in arranging and participates in meetings and activities regarding the projects.
Support content for social media resources and monitor/report metrics
Helping with the communication and reporting of provincial events as needed

  • Your core organizational and administrative skill will grow

  • You will provide broad-based support to all the WEDO Canada projects

  • You will provide support to all Ambassadors across the provinces

  • You will manage the WEDO Canada administration

Qualifications
  • Strong communication and good organizational skills

  • Background in business, customer service or sales

  • Good grasp of administration, information management and meeting protocols
